1. ACCEPTANCE OF TERMS
Welcome to Skilvi.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Learner", "Instructor", "Organization", "Customer", "Partner", "you", or "your") and Skilvi ("Skilvi", "Platform", "Company", "we", "us", or "our") governing your access to and use of the Platform, websites, applications, learning systems, educational services, content, certifications, assessments, internships, career services, community features, and all related products and services.
By accessing, registering for, purchasing, enrolling in, browsing, using, contributing to, or otherwise interacting with the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. DEFINITIONS
For purposes of these Terms:
"Platform"
Means all Skilvi websites, domains, applications, software systems, APIs, learning management systems, services, infrastructure, products, tools, content delivery systems, assessment systems, certification systems, and associated technologies.
"User"
Means any person or entity accessing or using the Platform.
"Learner"
Means a User enrolled in or accessing educational content.
"Instructor"
Means any individual or organization publishing, delivering, creating, licensing, teaching, mentoring, assessing, or contributing educational content through the Platform.
"Content"
Means all educational materials, videos, audio, text, documents, assignments, assessments, projects, resources, presentations, software, code samples, images, graphics, and related materials.
"Services"
Means any products, subscriptions, certifications, educational offerings, internships, mentoring services, consulting services, career services, assessments, events, communities, and related offerings provided through the Platform.
"Account"
Means a registered user profile used to access Platform services.
"Certification"
Means any certificate, badge, credential, achievement, recognition, verification, completion record, or similar acknowledgment issued through the Platform.
"Organization"
Means any company, institution, university, employer, partner, educational institution, nonprofit organization, or other entity using Platform services.
3. ABOUT SKILVI
Skilvi is an educational technology platform that develops, operates, manages, maintains, licenses, and delivers digital learning services.
Services may include:
- Online courses
- Learning pathways
- Certifications
- Assessments
- Projects
- Mentorship programs
- Workshops
- Internships
- Career development services
- Educational communities
- Corporate training
- Professional development services
- Educational software tools
- Learning management systems
- AI-powered educational services
Skilvi reserves the right to add, modify, suspend, discontinue, expand, restrict, or replace any service at any time without prior notice.
Nothing contained on the Platform shall be interpreted as a guarantee of educational outcomes, professional advancement, employment, business success, academic achievement, certification validity, or regulatory recognition.
4. RELATIONSHIP WITH EMBERQUEST
Certain technical, operational, infrastructure, hosting, ecosystem, security, maintenance, distribution, marketing, support, and administrative services relating to the Platform may be provided by EmberQuest or affiliated entities.
Users acknowledge and agree that:
- Skilvi remains the operator of the Platform.
- Skilvi remains the contracting party for Platform services unless otherwise stated.
- Payments, billing, educational services, certifications, and learning records may be administered by Skilvi.
- Infrastructure support may involve affiliated entities, service providers, vendors, contractors, processors, and technology partners.
The involvement of infrastructure or service partners shall not alter the contractual relationship between the User and Skilvi.
5. ELIGIBILITY
To use the Platform you must:
- Be at least 18 years of age; or
- Have obtained consent from a parent or legal guardian where permitted by applicable law.
By using the Platform you represent and warrant that:
- Information provided is accurate.
- You possess legal capacity to enter into agreements.
- You will comply with all applicable laws.
- You are not prohibited from receiving services under applicable laws.
Skilvi reserves the right to request proof of identity, age, eligibility, educational qualifications, professional credentials, employment status, or other information where reasonably necessary.
6. USER ACCOUNTS AND ACCOUNT SECURITY
Certain features require registration of an Account.
You agree to:
- Provide accurate information.
- Keep information current.
- Maintain confidentiality of credentials.
- Immediately report unauthorized access.
- Accept responsibility for activity occurring under your Account.
Users may not:
- Share accounts.
- Transfer accounts.
- Sell accounts.
- Rent accounts.
- Create multiple accounts to circumvent restrictions.
- Use another person's credentials.
- Impersonate another individual or organization.
Skilvi reserves the right to suspend, restrict, disable, verify, review, or terminate Accounts where fraud, abuse, misconduct, security concerns, policy violations, or suspicious activity is detected.
7. EDUCATIONAL SERVICES AND PLATFORM OFFERINGS
Educational offerings available through the Platform may include:
- Self-paced courses
- Instructor-led courses
- Hybrid courses
- Workshops
- Certifications
- Assessments
- Projects
- Assignments
- Bootcamps
- Corporate programs
- Mentorship services
- Career development programs
- Internship opportunities
- Community activities
Availability, duration, curriculum, instructors, content, pricing, assessments, certification requirements, learning outcomes, and related features may change without notice.
Skilvi reserves sole discretion regarding:
- Course availability
- Content updates
- Certification requirements
- Platform functionality
- Learning methodologies
- Assessment standards
8. MARKETPLACE AND THIRD-PARTY CONTENT
The Platform may permit third-party instructors, mentors, trainers, educational institutions, organizations, employers, partners, and content providers to publish educational offerings.
Skilvi may facilitate access to such offerings.
Users acknowledge that:
- Third-party content may not be reviewed in advance.
- Educational opinions belong to content creators.
- Skilvi does not guarantee accuracy of third-party content.
- Skilvi does not guarantee qualifications of third-party instructors.
- Skilvi does not guarantee professional outcomes resulting from third-party content.
Skilvi reserves the right to:
- Review content.
- Reject content.
- Remove content.
- Suspend content.
- Restrict content.
- Modify content presentation.
- Remove instructors.
- Disable access to content.
without prior notice.
9. COURSE PURCHASES AND ENROLLMENT
Enrollment may occur through:
- Individual purchases
- Subscription plans
- Promotional access
- Scholarships
- Enterprise licenses
- Institutional access
- Bundled offerings
- Partnerships
Enrollment grants a limited license to access purchased content subject to these Terms.
Users acquire no ownership rights in educational content.
Course access may be:
- Time-limited
- Subscription-based
- Cohort-based
- License-based
- Lifetime access subject to Platform availability
Skilvi reserves the right to modify access models, delivery mechanisms, content formats, and enrollment conditions.
Access may be revoked for:
- Refund abuse
- Chargeback activity
- Policy violations
- Fraud
- Misconduct
- Unauthorized distribution
- Account sharing
10. PAYMENTS, BILLING, TAXES AND MERCHANT OF RECORD
Skilvi acts as the Merchant of Record for purchases, subscriptions, certifications, digital products, educational services, and paid offerings unless expressly stated otherwise.
Users authorize Skilvi to:
- Collect payments.
- Process payments.
- Receive funds.
- Settle transactions.
- Issue invoices.
- Generate receipts.
- Administer subscriptions.
- Manage renewals.
- Process applicable taxes.
- Maintain transaction records.
Payments may be processed through authorized third-party payment processors.
Users agree to provide accurate billing information.
Failure to provide accurate payment information may result in:
- Payment rejection
- Service suspension
- Enrollment cancellation
- Certification withholding
- Account restrictions
Applicable taxes, duties, levies, fees, GST, VAT, withholding taxes, regulatory charges, processing fees, and governmental assessments may be collected where required by law.
Skilvi reserves the right to:
- Correct pricing errors
- Reject transactions
- Cancel suspicious transactions
- Conduct fraud reviews
- Verify purchases
- Request identity verification
- Refuse service where reasonably necessary
Transaction records maintained by Skilvi shall constitute prima facie evidence of payment activity unless proven otherwise.
All payments are subject to the Refund Policy and Chargeback Policy incorporated into these Terms.
## 11. SUBSCRIPTIONS AND RECURRING PAYMENTS
Certain Services may be offered through subscription-based access models.
By purchasing a subscription, the User authorizes Skilvi and its authorized payment processors to charge applicable fees on a recurring basis according to the selected plan.
Subscription plans may include:
- Monthly plans
- Quarterly plans
- Annual plans
- Enterprise plans
- Membership programs
- Certification subscriptions
- Premium access programs
Subscription pricing, benefits, features, limits, and access rights may be modified at Skilvi's discretion.
Users remain responsible for managing subscription status and payment methods.
Failure to maintain valid payment information may result in:
- Suspension of access
- Downgrade of services
- Cancellation of subscription benefits
- Loss of premium features
Skilvi reserves the right to suspend or terminate subscriptions for fraud, misuse, policy violations, chargebacks, payment disputes, or unlawful activity.
12. REFUNDS, CANCELLATIONS AND CHARGEBACKS
All purchases are subject to the Skilvi Refund Policy.
Unless expressly stated otherwise, digital educational products are generally considered consumed once access has been provided.
For purposes of these Terms, a course shall be deemed commenced upon any of the following:
- Accessing course content
- Viewing lessons
- Accessing live sessions
- Downloading resources
- Attempting assessments
- Submitting assignments
- Joining discussion communities
- Accessing premium materials
- Accessing certification features
- Utilizing mentorship services
- Accessing project resources
Once a course or service has commenced, the User may become ineligible for a refund as defined by the applicable Refund Policy.
Users agree not to initiate fraudulent payment disputes or chargebacks.
Where a chargeback or payment dispute is initiated:
Skilvi reserves the right to:
- Suspend account access
- Revoke certifications
- Freeze enrollments
- Restrict future purchases
- Recover associated costs
- Provide transaction records to financial institutions
- Pursue legal remedies
Users remain responsible for any legitimate amounts owed to Skilvi despite initiation of a chargeback.
13. LEARNING RECORDS, ASSESSMENTS AND CERTIFICATIONS
Skilvi may maintain educational records including:
- Course enrollments
- Learning progress
- Assessment results
- Examination records
- Assignment submissions
- Participation records
- Attendance records
- Mentorship activity
- Certification records
- Verification records
- Achievement records
- Platform activity logs
Users acknowledge that such records constitute official Platform records.
Certificates issued through the Platform indicate successful completion of specified requirements as determined by Skilvi.
Certificates do not constitute:
- Government accreditation
- Regulatory licensing
- Professional registration
- Employment guarantees
- Academic degree equivalency
- University credit recognition
Skilvi reserves the right to:
- Verify records
- Audit certifications
- Modify records
- Correct errors
- Suspend certificates
- Revoke certificates
- Reissue certificates
where fraud, misconduct, academic dishonesty, technical errors, identity misrepresentation, policy violations, or inaccurate information are identified.
Verification services may be provided to employers, institutions, partners, and authorized third parties where permitted by law.
14. INTERNSHIP, PLACEMENT AND CAREER SERVICES DISCLAIMER
The Platform may provide:
- Internship opportunities
- Career guidance
- Resume reviews
- Job boards
- Hiring opportunities
- Placement assistance
- Networking opportunities
- Career counseling
- Industry mentorship
Users acknowledge that participation in such programs does not guarantee:
- Employment
- Internship placement
- Interviews
- Freelance engagements
- Business opportunities
- Career advancement
- Income generation
- Professional success
Selection decisions remain solely within the discretion of employers, organizations, institutions, clients, and hiring entities.
Skilvi shall not be liable for hiring decisions, compensation outcomes, workplace conditions, employment disputes, or professional relationships resulting from career-related services.
15. INTELLECTUAL PROPERTY OWNERSHIP
Except where expressly stated otherwise, all rights, title, and interest in and to the Platform are owned exclusively by Skilvi.
This includes:
- Software systems
- Source code
- APIs
- Databases
- Platform architecture
- User interfaces
- User experience designs
- Learning management systems
- Certification systems
- Assessment systems
- Analytics systems
- AI systems
- Algorithms
- Workflows
- Documentation
- Trademarks
- Logos
- Brand assets
- Educational methodologies
- Platform infrastructure
- Verification systems
No ownership rights are transferred to Users through use of the Platform.
Users receive only a limited, revocable, non-exclusive, non-transferable license to access Services for lawful personal or authorized organizational use.
Unauthorized copying, distribution, resale, reverse engineering, scraping, extraction, modification, decompilation, sublicensing, or commercial exploitation is strictly prohibited.
16. INSTRUCTOR CONTENT AND CONTENT LICENSING
Instructors retain ownership of original content they lawfully create and upload.
By uploading content to the Platform, Instructors grant Skilvi a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, and non-exclusive license to:
- Host content
- Store content
- Display content
- Stream content
- Market content
- Promote content
- Translate content
- Adapt content
- Repackage content
- Distribute content
- Archive content
- Use content for Platform operations
The Instructor represents and warrants that:
- Content is lawfully owned or licensed.
- Content does not infringe third-party rights.
- Content complies with applicable laws.
- Content does not contain unauthorized copyrighted materials.
Skilvi reserves the right to remove, modify, suspend, restrict, reject, archive, or discontinue Instructor content at its discretion.
17. USER GENERATED CONTENT
Users may submit:
- Assignments
- Projects
- Comments
- Reviews
- Discussions
- Community posts
- Portfolio materials
- Assessments
- Feedback
- Communications
Users remain responsible for submitted content.
By submitting content, Users grant Skilvi a worldwide, non-exclusive, royalty-free license to:
- Store
- Process
- Display
- Reproduce
- Moderate
- Analyze
- Archive
- Use
such content for Platform operation, compliance, educational delivery, security, dispute resolution, and service improvement purposes.
Skilvi is not obligated to monitor User-generated content but reserves the right to do so.
18. ACCEPTABLE USE RESTRICTIONS
Users shall not:
- Violate laws or regulations.
- Infringe intellectual property rights.
- Impersonate individuals or entities.
- Circumvent security systems.
- Attempt unauthorized access.
- Distribute malware.
- Conduct phishing activities.
- Harvest data.
- Scrape content.
- Interfere with Platform operations.
- Upload unlawful content.
- Misrepresent qualifications.
- Engage in fraud.
- Abuse support channels.
- Disrupt educational activities.
Violation may result in immediate suspension or termination.
19. ANTI-PIRACY AND CONTENT PROTECTION
Users may not:
- Record courses
- Download protected content
- Redistribute materials
- Share credentials
- Resell access
- Mirror Platform content
- Upload Platform content elsewhere
- Circumvent content protections
- Share certificates fraudulently
- Provide unauthorized public access
Skilvi may utilize:
- Watermarking
- Activity monitoring
- Device tracking
- Access controls
- Fraud detection systems
- Content protection technologies
to protect intellectual property.
Violations may result in:
- Immediate account termination
- Certification revocation
- Legal action
- Recovery of damages
- Permanent platform bans
20. ARTIFICIAL INTELLIGENCE SERVICES DISCLAIMER
The Platform may incorporate artificial intelligence, machine learning, automation systems, recommendation engines, grading systems, assessment tools, chat assistants, content generation tools, or other automated technologies.
AI-generated outputs may contain inaccuracies, omissions, biases, errors, or outdated information.
Users acknowledge that:
- AI outputs are informational only.
- AI outputs do not constitute professional advice.
- AI systems may produce unexpected results.
- Human review may be required.
Skilvi makes no warranties regarding the accuracy, completeness, reliability, suitability, legality, or fitness of AI-generated outputs.
Users remain solely responsible for decisions made using AI-generated information.
Skilvi reserves the right to modify, restrict, suspend, replace, or discontinue AI services at any time.
